1. Agreement to Terms
By accessing or using Solas ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all users of the Service, including users of the mobile application and website.

2. Description of Service
Solas is a mobile accounting application designed for UK freelancers and sole traders. The Service provides:
- Receipt scanning and expense tracking
- Bank account integration via Open Banking
- Transaction categorisation
- AI-powered tax assistance
- VAT return preparation and submission
- Self Assessment tax return preparation
3. Account Registration
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and update your information to keep it accurate
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorised access
You must be at least 18 years old to create an account.
4. Subscription and Payments
The Service may require a paid subscription. By subscribing, you agree to:
- Pay all applicable fees as described at the time of purchase
- Provide valid payment information through the app stores (Apple App Store or Google Play)
- Accept automatic renewal of your subscription unless cancelled
Statutory Cancellation Rights
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your subscription within 14 days of purchase without giving any reason (the "cooling-off period").
To exercise your right to cancel, you must inform us of your decision by a clear statement (e.g., by email to matt@solas.services). You may also cancel through the Apple App Store or Google Play Store.
If you request that the Service begins during the cooling-off period and subsequently cancel, you may be charged for the Service provided up to the point of cancellation. If the Service has been fully performed within the 14-day period with your prior express consent, you acknowledge that you will lose your right to cancel.
Outside of the statutory cooling-off period, subscription fees are non-refundable except as required by law.
5. Consumer Rights Notice
Nothing in these Terms is intended to affect your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation.
As a consumer, you have certain legal rights that cannot be excluded or limited by contract. These include rights relating to:
- Services being performed with reasonable care and skill
- Information provided to you being accurate
- Services being provided within a reasonable time

6. Use of the Service
You agree to use the Service only for:
- Lawful purposes
- Managing your own legitimate business finances
- Preparing accurate tax submissions
You agree NOT to:
- Use the Service for fraudulent or illegal purposes
- Submit false, misleading, or inaccurate information
- Attempt to gain unauthorised access to any part of the Service
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble the software
- Share your account credentials with others
7. Tax and Financial Disclaimer
IMPORTANT: Solas is a tool to assist with accounting and tax preparation. It is NOT a substitute for professional advice.
- We are not accountants or tax advisors. The Service provides tools and AI assistance but does not constitute professional accounting or tax advice.
- You are responsible for your tax affairs. You remain legally responsible for the accuracy of all information submitted to HMRC.
- Review all submissions carefully. Always review and verify any calculations or submissions before sending to HMRC.
- Seek professional advice when needed. For complex tax situations, we recommend consulting a qualified accountant or tax advisor.
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Solas and are protected by international copyright, trademark, and other intellectual property laws.
You retain ownership of any data you input into the Service (receipts, transaction records, etc.). You grant us a limited licence to use this data solely to provide the Service to you.
9. Third-Party Services
The Service integrates with third-party services including:
- Open Banking providers for bank connectivity
- HMRC for tax submissions
- Cloud infrastructure providers
Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.
10. Limitation of Liability
Nothing in these Terms shall limit or exclude our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be limited or excluded by applicable law
Subject to the above, and to the maximum extent permitted by law, Solas and its directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, or other intangible losses
- Any errors in tax calculations or submissions where you have not verified the information before submission to HMRC
- Penalties, fines, or interest charged by HMRC resulting from information you have provided or approved, except to the extent directly caused by a defect in the Service
- Any interruption or cessation of the Service
Subject to the exclusions above, our total liability to you shall not exceed the greater of (a) the amount you paid for the Service in the 12 months preceding the claim, or (b) £100.
11. Indemnification
You agree to indemnify and hold harmless Solas and its affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any inaccurate or fraudulent information you provide
12. Termination
Termination by You
You may cancel your subscription at any time through the Apple App Store or Google Play Store. Upon cancellation, you will continue to have access to the Service until the end of your current billing period.
Termination by Us for Breach
We may terminate or suspend your account immediately and without prior notice if you breach these Terms, including but not limited to using the Service for fraudulent purposes or violating applicable laws.
Termination by Us for Convenience
If we choose to discontinue your access to the Service for reasons other than breach, we will provide you with at least 30 days' notice. If you have a paid subscription, you will be entitled to a pro-rata refund for any unused portion of your subscription period.
Effect of Termination
Upon termination, your right to use the Service will cease. We recommend exporting your data before termination. We may retain certain data as required by law or for legitimate business purposes.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the app or by email. Your continued use of the Service after changes constitutes acceptance of the new Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising out of or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of England and Wales. This means that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
